1. Introduction
These Terms and Conditions (“Terms”) govern the provision of payroll services (“Services”) by Yellow Stone Associates, a company registered in England and Wales with company number 15567068 and registered office at 179 Oakham Road, Tividale, Oldbury, B69 1PZ (“we”, “us”, “our”), to clients operating within the private social and healthcare sectors (“you”, “your”).
By engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
2. Scope of Services
We provide payroll management and processing services, which may include:
- PAYE (Pay As You Earn) processing
- National Insurance calculations and submissions
- Pension contributions
- Statutory payments (SSP, SMP, etc.)
- Submission of RTI (Real Time Information) to HMRC
- Production of payslips and payroll reports
- Liaising with HMRC and pension providers on your behalf

3. Client Responsibilities

4. Fees and Payment
- Fees for services will be agreed upon in writing and invoiced on a monthly or periodic basis.
- All fees are exclusive of VAT unless stated otherwise.
- Invoices are payable within 14 days of issue unless otherwise agreed.
- We reserve the right to suspend services in the event of non-payment.
Late payments may incur interest at a rate of 4% above the Bank of England base rate.

Upon termination, you must pay all outstanding fees, and we will provide all final reports and returns up to the termination date.

9. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
